SERVICES

Your path in the AIFC

We handle the procedures at every stage — from registration to liquidation. Select a stage to see what is included.

01

STAGE 1

Company registration in the AIFC

We choose the right legal form, prepare the documents and handle the application with the AIFC Registrar until the certificate of incorporation is issued.

What is included

  • choice of form: Private / Public Company, SPC, Investment Company, Foundation, Partnership, Recognised Company (branch of a foreign company);
  • name reservation;
  • standard or bespoke articles of association and constitutional documents;
  • shareholders’ agreement;
  • filing the application and answering the Registrar’s queries;
  • multi-tier and holding structures with several companies;
  • registration of IT companies in Astana Hub;
  • redomiciliation — moving a company into or out of the AIFC;
  • registered office;
  • assistance with opening a bank account — 1 day to prepare the documents, then the bank’s own review;
  • IIN and digital signature (EDS) for foreign nationals;
  • sanctions report on directors and shareholders;
  • KYC / AML checks of the participants.

Indicative timeline: from 5 days after receipt of the complete document package; the final timeline depends on the Registrar.

Sanctions report

For directors, shareholders and beneficial owners who are nationals of certain countries, a sanctions report may be required at registration. We screen them against the applicable sanctions lists and prepare a report to be filed with the registration documents.

Approved Individuals

We define the requirements for key personnel, assess candidates from your group of companies and help find specialists for positions that require regulatory approval.

From our practice

Timelines may grow if the regulator raises questions. In one case, a registration was delayed because the founder had a long-dormant LLP in Kazakhstan that went into compulsory liquidation at exactly that time. That is why we check the history of founders and related companies at the outset.

FAQ

Frequently asked questions

How long does AIFC company registration take?

Indicatively from 5 days from the moment we have the complete document package. It may take longer if the Registrar raises additional questions, for example about the history of the founders or their related companies.

Does my company need an AFSA licence?

There are two kinds of AFSA licence. A financial services licence is needed for regulated activities such as investment advice, asset management or digital asset operations. An ancillary services licence is needed by legal, accounting, audit and consulting firms and company service providers. Holding and IT companies usually do not need a licence. We will confirm this at the first consultation.

What is a sanctions report and who needs one?

It is a screening of directors, shareholders and beneficial owners against the applicable sanctions lists. Nationals of certain countries may need such a report when registering a company in the AIFC. We will tell you whether it applies in your case and prepare it.

Can the registration be done remotely?

Yes, most steps are done online. Documents of foreign participants may need to be notarised and apostilled or legalised — we will explain the procedure for your country.

Do you help with bank accounts and visas?

Yes. We prepare the bank’s documents and coordinate KYC, and we arrange visas for directors, employees and investors. The bank decides on opening the account, and the competent authorities decide on the visa.

In which language are the documents prepared?

AIFC documents are prepared in English. We communicate with clients in Russian and English; translation is available on request.

Can you take over an existing company?

Yes. We change the registered office and company secretary, take over the corporate records from the previous provider and check for overdue filings. A transfer usually takes about 2 weeks.
